- Not misuse the brand name or engage in any unethical activities associated with the brand name of the franchised business.
- Not enter into any direct contracts with marketplaces, lead generation solutions, distributors, or other marketing entities without written approval from the franchisor. The franchisor reserves the right to directly contract with these entities for the entire brand and determine the franchisee's contribution.
- If perceiving a strong need to contract with the above entities, request the franchisor's involvement and pay the required amount. The franchisor will enter into the contract under the brand name, distributing services to all franchisees, with payments made from the franchisor's current account, funded by franchisee contributions.
- Ensure they do not misuse the franchisor's property; any misuse grants the franchisor the right to terminate this agreement immediately and pursue legal action.
- Be provided with an official email ID by the franchisor if deemed necessary.
- Refrain from engaging in, working for, or starting a new business related to this sector, as stated in the ‘conflict of interest’ section of this agreement.
- Provide periodic updates and reports on activities, orders, transactions, and deals.
- Receive all payments from customers and clients in the current account of ‘GoLite Technologies Private Limited’ or ‘GraphiCana, ’ or in cash. Any fraudulent activities related to payments will lead to immediate termination of this agreement and strict legal action against the franchisee, who will bear all legal costs and penalties.
- Provide complete details of customers and clients receiving products and services.
- Comply with the franchisor’s royalty fees and raw materials payments, ensuring timely payments.
- Deliver exceptional customer service to clients and customers.
- Be subject to physical surveys at their business address without notice for special events; usual surveys require a 3-day notice.
- Report payments received or provide information on completed or ongoing deals; failure to do so may result in the enforcement of clause 6.1 of section 6.
- Receive forms or relevant supporting documents from the franchisor in either soft or hard copy format.
- Submit regular reports (weekly, fortnightly, monthly, quarterly, half-yearly, and annually) on sales, deals, receivables, and payments in the franchisor-provided formats. Assistance in presentation development will be available, and feedback can be shared at physical franchisee meetings or online on platforms such as Zoom, Google Meet, Skype, Webex, etc.
- If failing to submit reports within one month, be granted an additional 7 days to complete them.
- Cover all operational and recurring business expenses, including office expenses, royalty fees, HR, and payroll expenses.
- Request a letterhead format by emailing info@go-tech. co. in.
- Not release advertisements for marketing in newspapers or other publications, except for hiring staff.
- Maintain the confidentiality of the franchisor's proprietary information and not disclose it without approval.
- Not accept direct advance payments from customers or clients for personal use; such activities are self-liable and subject to strict legal action by the franchisor.
- Be self-liable for errors, with the franchisor royalty fee being non-refundable. The franchisor may:
- Provide attractive marketing material and designs to the franchisee for promotion and presentation of the company.
- Supply formats for letterheads, reports, audit reports, presentations, etc, to the franchisee.
- Grant brand name rights to the franchisee, allowing them to publish and use the brand for printing boards, banners, standees, digital promotions, etc.
- Share leads with the franchisee for the purpose of sales.
- Allow the franchisee to make attractive changes to the brand's website.
- Issue identity cards, employment offer letters, etc, to the employees of the franchisee.
- Provide a welcome kit to the franchisee within 90 days from the date of execution of this agreement.
- Share copies of the latest marketing campaigns and updates with the franchisee.
- Offer dedicated assistance to address the concerns and queries of the franchisee.
- Issue legal notices to the franchisee if they breach this agreement or are involved in any illegal offences related to the franchised business.
- Conduct training sessions and meetings with the franchisees from time to time.
- Carry out inspections at the franchisee’s location periodically.
