We are in the process of acquiring a well-established restaurant with an annual turnover of over EUR 600,000, mirroring the ambiance and customer base that aligns with our ethos. The investment proposition is to purchase at a value-driven price, implement operational enhancements to increase profit margins and integrate our acclaimed Italian dining experience to elevate the establishment's market position.

Eindhoven:

In collaboration with reputable partners, we're developing a FoodHall concept in Eindhoven's historic Veem building, situated in the Strijp-S district. This food will feature 10 kitchens and three bars in an avant-garde setting that honors culinary heritage while embracing contemporary trends. The concept will anchor the Italian cuisine offering, tapping into a diverse food culture.

Financial Forecast & Proposition.

The addition of these outlets is projected to bolster Consolidated Business's annual turnover to EUR 1.5 million by the end of next year. We are consolidating our brand across three key locations, marking a significant step in our expansion in North Brabant.

With those acquisitions in Den Bosch and Eindhoven, our brand is poised to cement its presence in North Brabant, setting the stage for a broader national expansion.

We have that special Italian touch that makes our guests feel relaxed and at ease. Our starters, fresh pasta, Neapolitan pizzas, and desserts? Just as they'd find them in Italy. Many of our guests ask us to surprise them with shared menus, and we absolutely love doing just that.

With the capital raised for the addition of two new outlets, the total estimated value of the tangible assets is projected to rise to EUR 200,000. Our current operational and licensed location is in Helmond and it can seat 55 pax inside. In the summertime, it can accommodate another 50 pax outside.

Following our strategic acquisitions, will manage 3 outlets across the historical city centers of Eindhoven, Den Bosch, and Helmond.

Equity funding: EUR 200,000 from 2 shareholders (75% majority shareholder, 25% minority shareholder).

Debt financing:

Convertible loans totaling EUR 150,000;

Interest-bearing loan of EUR 50,000 at a 4% interest rate.
